|| SNB Capital in its capacity as the Lead Manager, Financial Advisor, Global Coordinator, Bookrunner, and Underwriter, Goldman Sachs Saudi Arabia, Morgan Stanley Saudi Arabia, and FAB Capital JSC in their capacity as Financial Advisors, Bookrunners, Global Coordinators, and Underwriters on the potential Initial Public Offering of Americana Restaurants International PLC (“Americana Restaurants” or the “Company”) announces that the number of offered shares to the UAE Retail Tranche only has been increased from 5% to 10% of the offering to be in line with the KSA Retail Tranche.

The Selling Shareholder (Adeptio AD Investments Ltd.) expects to sell 2,527,089,930 existing ordinary shares (the “Offer Shares”) in the Offering, representing 30% of the Company’s issued share capital. As such, the UAE Retail Offer will be for 252,708,993 ordinary shares, the KSA Retail Offer will be for 252,708,993 ordinary shares, and the Institutional Offer will be for 2,021,671,944 ordinary shares.

On 17 November 2022G, the Company obtained the Capital Market Authority’s approval to update the Red Herring KSA Supplementary Prospectus through the issuance of a Supplementary Prospectus.

The Saudi Exchange approved the Company’s application for the listing of the Offer Shares on the Main Market of the Saudi Exchange (Tadawul) and Abu Dhabi
